These Terms of Service (the "Terms") govern your access to and use of the website located at informationstrategies.net and any pages, content, or materials made available on it (the "Site"). The Site is operated by Information Strategies ("Information Strategies," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. Who these Terms cover

These Terms apply to your use of the Site only. They do not govern any advertising, media buying, consulting, or other professional services that Information Strategies may provide to a client. Those services are governed exclusively by a separate written agreement, insertion order, or statement of work signed by Information Strategies and the client. If there is any conflict between these Terms and such an agreement, the signed agreement controls with respect to the services it covers.

2. No offer, no engagement

The Site describes services that Information Strategies offers. Nothing on the Site is an offer to contract, a guarantee of availability, a quotation of rates, or a promise of any particular result. No client relationship is created by visiting the Site, by reading its contents, or by sending us an email. A client relationship with Information Strategies is formed only when both parties execute a written agreement.

The name "Information Strategies" and the Information Strategies logo are marks of Information Strategies. Nothing in these Terms grants you any license or right to use any such mark without our prior written permission.

The Site does not include a contact form. If you contact us at the email address published on the Site, you do so at your own initiative. Please do not send us confidential, proprietary, or sensitive information through unencrypted email, and do not send us any information you are not authorized to disclose. Email is not a secure medium, and we cannot guarantee the confidentiality or integrity of information transmitted to us that way. Unless we have a written agreement providing otherwise, any material or suggestion you send to us on an unsolicited basis will be treated as non-confidential, and you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, and incorporate it without obligation or compensation to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, INFORMATION STRATEGIES DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT ON THE SITE, AND ANY RELIANCE YOU PLACE ON SUCH CONTENT IS AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL INFORMATION STRATEGIES OR ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Information Strategies and its members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

10. Changes to the Site and to these Terms

We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We may also revise these Terms at any time by posting an updated version on this page and changing the "Last updated" date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

11. Governing law and venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts and waive any objection to venue in them.

12. Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

13. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Information Strategies regarding your use of the Site and supersede any prior understandings on that subject.
